Learn how to answer your clients' questions when they read about crowdfunding in the newspaper and come to
you for answers, whether your clients want to raise capital or invest in someone else's
offering. For the issuer who wants to open a restaurant, buy real estate, market a new
invention or engage in some other business that needs capital: How much can they
raise? What information do they have to provide? How does the selling process work?
What are their ongoing disclosure obligations? Is this a panacea? For the investor who wants to buy in at the ground floor: How much can they invest? What disclosures will
they get now? What must the company tell them in the future? Is investing in crowdfunded deals especially risky? (Broker dealer and portal registration, FINRA issues
and similar matters are left for another day.)
